1. What these terms cover
These are the terms for operators: transport companies that subscribe to TransfersManager, the software of Codelabs Studio S.L. (tax ID B88708797, registered office at Pasaje Federico García Lorca, 6, 3º E, 29130 Alhaurín de la Torre, Málaga, Spain, registered in the Registro Mercantil de Málaga (Companies Registry of Málaga), sheet MA-198508, entry 1), to manage their fleet, sell transfers and take part in the Service Pool. You accept them when you sign up.
The conditions a passenger accepts when booking are different and are published in the booking engine (on your website and on booking.transfersmanager.ai). This document explains what you commit to respect towards the passenger.
2. Using the platform
You must follow the policies we make available to you within the platform and not misuse it. For example, do not interfere with how it works or try to access it by any method other than the interface and instructions we provide.
3. Your account
You need an account to use the platform. You can create it yourself or your company administrator can assign one to you; the administrator will be able to access or deactivate it.
Keep your password secret. You are responsible for what is done from your account.
4. Subscription, prices and VAT
Plan prices are published excluding VAT. When the subscription is invoiced, VAT on software is added, at 21%. Monthly plans have no minimum term.
Reference prices we show you for a service (for example, in the Service Pool) are net: VAT is added on top. Passengers, on the other hand, are always shown the price with VAT included.
5. Commissions
For each booking paid online through the platform, 8% is retained on the Free plan, 6% on the Basic plan, 5% on the Professional plan, and 4% on the Premium and Enterprise plans (negotiable by volume). It includes the payment gateway and its bank fees, payment handling, refunds and chargebacks.
If the booking reaches you through the Service Pool or a partner that captured it, a 10% acquisition commission is added to your plan's commission. If the service was captured by the TransfersManager platform itself (for example, from our website or app) and you take it from the Pool, TransfersManager keeps a single 15% of the price, payment processing included, whether it is paid by card or in cash, and you receive 85%.
The total retained on a booking never exceeds 25% of its amount.
No commission is charged on what is refunded to the passenger. If part of the amount is retained in a cancellation, that part is split like a completed service: most of it goes to the operator who was going to do the service, who is the one that lost the car and the time slot, and the commissions in this section apply to it.
6. Your cancellation policy and the minimums that cannot be worsened
Your cancellation policy is set as tiers: from how many hours before pickup, which percentage is refunded. It is the policy the passenger sees before paying.
If you do not declare your own, the general policy applies: 100% with 24 hours or more notice; 50% between 12 and 24 hours; 0% with less than 12 hours or if the passenger does not show up.
The policy the passenger saw when paying is frozen in the booking. If you change yours, it only affects new bookings. If you pass the service on through the Service Pool, the operator who accepts it honours yours.
There are minimums no operator can worsen: a full refund if the passenger cancels more than 48 hours before pickup (below that point each operator sets its own tiers, including refunding nothing); a full refund when the service is not provided for reasons on the side of the operator or the platform (nobody accepts it, a breakdown, the operator cancels), when the passenger's flight is cancelled or diverted, and when the passenger cancels because the vehicle was changed; and no handling fee or deduction for the payment method on a refund.
7. If you cancel a service you had accepted
The passenger always gets a full refund, and the platform charges you no penalty for cancelling. An operator should have no reason to cancel: if you cannot do a service you had accepted, the automatic traffic chief hands it to the Service Pool so that another operator can provide it.
If you cancel with less than 12 hours' notice, it is recorded and costs points in the score the Pool uses to choose which operators it offers services to. You are not charged anything for it.
8. The Service Pool
When you pass a service on to the Service Pool, it stays there until another operator accepts and provides it; it does not expire.
While nobody accepts it, we alert you 7 days, 48 hours and 24 hours before pickup.
If nobody has accepted it 24 hours before pickup, we automatically refund 100% to the passenger and nobody earns a commission.
The operator who accepts a service provides it with the price, vehicle category and cancellation policy that were sold to the passenger.
9. If a vehicle fails
If a driver reports that they cannot do a service (for example, because of a breakdown), the system looks for a replacement at that moment and assigns it as soon as another vehicle accepts. If there is no replacement, the passenger is notified at that same moment.
The passenger is informed of the change, not asked, and is offered the option to cancel with a full refund. If the change is material (a long delay, a different vehicle category or a different price), their consent is requested before assigning it.
10. What you commit to respect towards the passenger
On your website, the booking conditions identify you as the company that sells and provides the transfer. That is why your registered name, tax ID and address must be complete and up to date in the dashboard.
You must hold a valid transport authorisation and the compulsory insurance to carry passengers.
Codelabs Studio S.L. charges the passenger on your behalf, so the charge shows under its name on the statement. Refunds are calculated and executed according to the policy frozen in the booking and the minimums in section 6.
11. Privacy and data protection
Our Privacy Policy explains how we handle personal data when you use the platform.
12. Your content
The platform lets you upload, store, send or receive content. You keep any intellectual property rights you hold in it.
13. Liability
The platform is provided as is and as available. To the extent permitted by law, Codelabs Studio S.L., its distributors, suppliers and licensors make no express or implied warranties, including those of merchantability, fitness for a particular purpose and non-infringement.
This limitation does not affect what these terms guarantee to the passenger (sections 6 to 9), which does not depend on platform availability.
14. Withdrawal from the subscription
You can withdraw from your subscription within 14 calendar days of taking it out, without giving a reason, by writing to [email protected].
15. Changes to these terms
We may change these terms, for example to reflect changes in the law or in the platform. We will publish the changes on this page.
If you do not agree with the changed terms, you must stop using the platform.
16. Governing law and jurisdiction
These terms are governed by Spanish law. If you contract or act as a business or professional, the parties submit to the Courts and Tribunals of Málaga (Spain), where Codelabs Studio S.L. has its registered office, expressly waiving any other jurisdiction that may apply. If you are a consumer, the competent courts are those determined by the applicable mandatory law (generally those of your place of residence) and, only where the law allows, those of Málaga; nothing in this clause limits the rights that consumer protection law grants you.
